Azitra, Inc. filed a certificate of amendment with the Delaware Secretary of State on October 22, 2026, to implement a 1-for-10 reverse stock split of its common stock. The company disclosed this material modification to the rights of security holders in a Current Report on Form 8-K filed with the U.S. Securities and Exchange Commission. The reverse stock split is scheduled to become effective at 12:01 a.m. Eastern Time on October 26, 2026.

At its annual meeting of stockholders held on June 15, 2026, Azitra’s shareholders approved an amendment to the company’s certificate of incorporation authorizing reverse stock splits at any ratio between 1-for-2 and 1-for-30. The Board of Directors retained sole discretion to determine the specific ratio for each split within that range. The current filing confirms the selection of a 1-for-10 ratio. Upon the effective time, every ten shares of issued and outstanding common stock will be combined into one share. The par value and other terms of the common stock will remain unchanged by this action.

The company expects its common stock to begin trading on the NYSE American on a reverse stock split-adjusted basis at market open on October 26, 2026. The post-split CUSIP number for Azitra’s common stock will be 05479L401. No fractional shares will be issued as a result of the split. Stockholders of record who would otherwise be entitled to a fractional share will receive a cash payment in lieu. This payment will equal the number of shares reclassified into the fractional share multiplied by the mean closing price of the common stock over the five trading days before October 26, 2026.

Francisco D. Salva, Chief Executive Officer of Azitra, Inc., signed the report on behalf of the company. The filing includes forward-looking statements regarding the reverse stock split and its potential impacts on the common stock. The company notes that these statements are not guarantees of future performance and are subject to risks and uncertainties that could cause actual results to differ materially. Azitra disclaims any obligation to update these forward-looking statements except as required by applicable law. A copy of the certificate of amendment is filed as Exhibit 3.1 to the report.
