Dyne Therapeutics, Inc. has granted inducement equity awards to 16 newly hired employees, a move the company stated was material to the acceptance of their employment offers. The grants were issued in accordance with Nasdaq Listing Rule 5635(c)(4), allowing the company to make equity awards to new hires without shareholder approval.
The Waltham, Massachusetts-based clinical-stage company disclosed the details in a release dated October 22, 2026. The inducement package consists of non-statutory stock options for up to 290,100 shares of Dyne common stock and restricted stock units for an aggregate of 92,300 shares. The exercise price for the stock options is set equal to the closing price of Dyne's common stock on The Nasdaq Global Select Market on October 20, 2026.
Vesting terms for the two types of awards differ. The stock options carry a ten-year term and vest over four years. Specifically, 25% of the original number of shares vests on the first anniversary of the employee's start date, with the remainder vesting in 12 equal quarterly installments thereafter. This schedule is subject to the employee's continued service to Dyne through the applicable vesting dates. The restricted stock units also vest over four years from the start date, but in four equal annual installments, similarly contingent on continued service.
All inducement equity awards are subject to the terms and conditions of individual award agreements and Dyne's 2024 Inducement Stock Incentive Plan. Dyne Therapeutics is focused on developing therapeutics that target muscle and the central nervous system to address the root cause of genetically driven neuromuscular diseases. The company is advancing clinical programs for Duchenne muscular dystrophy and myotonic dystrophy type 1, as well as preclinical programs for facioscapulohumeral muscular dystrophy, Pompe disease, and multiple DMD mutations.
