Massimo Group signs one-year consulting deal with Acorn Management Partners

Massimo Group entered into a strategic business outreach and consulting agreement with Acorn Management Partners, L.L.C. on September 28, 2026. The deal, disclosed via a Form 8-K filed with the U.S. Securities and Exchange Commission, outlines a one-year engagement for investor relations and broker outreach services.

Under the terms of the agreement, Acorn Management Partners will provide services focused on broadening the company's strategic reach, raising investor awareness, and managing relations with brokers and other professionals. The contract runs from September 28, 2026, through September 27, 2027, unless terminated earlier according to its provisions. Massimo Group will pay the consultant $15,000 in cash compensation each month for the duration of the engagement.

The initial six-month period of the contract is structured into two distinct phases for determining payment obligations if the deal is terminated early: an initial three-month period and the remainder of the six-month term. If Massimo Group extends the engagement beyond this initial six-month window, the company is obligated to issue deferred equity compensation to Acorn Management Partners. This equity component has an aggregate value of $125,000, capped at 90,000 shares of Massimo Group common stock.

Any shares issued under this arrangement would be provided under an exemption from registration pursuant to Rule 4(a)(2) of the Securities Act of 1934. The agreement includes standard legal provisions such as representations, warranties, covenants, confidentiality clauses, indemnification terms, and termination rights. Either party holds the right to terminate the contract for convenience upon providing written notice, subject to the compensation rules detailed in the document.
