Powerus Corporation has entered into an employment agreement with Leah Lunger to serve as its Chief Accounting Officer, with the appointment scheduled to begin on November 16, 2026. The company disclosed this development in a Current Report on Form 8-K filed with the Securities and Exchange Commission on October 22, 2026.

Lunger, 36, brings experience in finance, accounting, and public company reporting to the role. She joins Powerus from Lunger Consulting LLC, where she has provided public company financial consulting services since April 2026. Her prior professional background includes a five-year tenure with Red Cat Holdings, Inc., a drone and robotic systems company. At Red Cat, Lunger served as Chief Financial Officer from 2024 to 2025, Vice President of Finance from 2023 to 2024, and Corporate Controller from 2020 to 2023. Before joining Red Cat, she worked as the Controller for Fat Shark Holdings from 2017 to 2020, a period that ended when Fat Shark was acquired by Red Cat.

The employment agreement, effective November 16, 2026, sets Lunger's initial base salary at $235,000. She will be eligible for target annual incentive awards under the company's bonus program or cash incentive plan and will participate in employee benefit plans in effect at that time. As part of her hiring package, Lunger will receive a grant of 150,000 non-qualified stock options and 50,000 restricted stock units. Both equity grants vest in quarterly increments over a four-year period that begins three months after her start date.

The agreement specifies that if Lunger's employment is terminated without cause, she will be entitled to severance pay equal to three months of her base salary. The company noted that the description of the agreement is qualified in its entirety by the full text of the document, which is filed as Exhibit 10.1 to the Form 8-K. Lunger holds a Certified Public Accountant designation and earned a B.S. in Public Accountancy and a B.A. in French from Calvin College.

In its filing, Powerus stated that Lunger has no family relationships with any of the company's directors or executive officers. She is not a party to any transaction requiring disclosure under Item 404(a) of Regulation S-K and does not have any direct or indirect material interest in such transactions. The company also confirmed there are no arrangements or understandings with other persons regarding her selection as an executive officer. The report was signed by Jim Biehl, Powerus Corporation's Chief Legal Officer.
