Victoria's Secret Chief Legal Officer Melinda McAfee to Depart

Melinda McAfee, Chief Legal and Compliance Officer at Victoria's Secret & Co., will leave the company effective March 31, 2027. The retailer has initiated a search for a successor to McAfee, who has served in her current role for more than five years.

The company disclosed the departure in a Form 8-K filed with the U.S. Securities and Exchange Commission on October 9, 2026. The filing notes that the Board of Directors thanks McAfee for her contributions during her tenure. To manage the leadership transition, Victoria's Secret entered into a Transition and Separation Agreement with McAfee on October 7, 2026.

Under the terms of the agreement, McAfee will retain her current executive role until a successor Chief Legal Officer is appointed. During this interim period, she will continue to receive the same compensation and benefits that are currently in effect. Once a successor is named, McAfee will remain employed by the company in a non-executive capacity until March 31, 2027. This arrangement is intended to facilitate a smooth transition of responsibilities.

The filing further details the severance provisions applicable to McAfee's departure. She is entitled to receive severance benefits as outlined in Section 4 of the Executive Severance Agreement dated June 29, 2021. This agreement was previously filed as Exhibit 10.12 to Victoria's Secret's Annual Report on Form 10-K for the fiscal year ended January 31, 2026. Receipt of these benefits is subject to McAfee executing a full release of claims and maintaining compliance with specific restrictive covenants, including those related to confidentiality, non-solicitation, and non-competition.
