Weatherford International plc issued a notice on October 20, 2026, to redeem all of its 8.625% Senior Notes due 2030. The company disclosed the move in a Form 8-K filed with the U.S. Securities and Exchange Commission, detailing an aggregate principal amount of $236 million for the debt instruments.
The Houston-based oilfield services provider will redeem the notes at 100% of their principal amount. Holders will also receive accrued and unpaid interest up to and including the redemption date of October 30, 2026. Weatherford stated that it expects to fund the redemption using cash on hand, avoiding the need for new borrowing or asset sales to clear the liability.
The 2030 Notes are listed on the Nasdaq Global Select Market under the ticker symbol WFRD. Weatherford, incorporated in Ireland, operates as a global provider of oilfield technology and services. The company’s principal executive offices are located at 2000 Saint James Place in Houston, Texas.
In its filing, Weatherford clarified that this specific disclosure does not constitute the formal notice of redemption required for the 2030 Notes. The company is required to provide separate, formal notices to bondholders in accordance with the terms of the notes. This distinction ensures that investors receive the official documentation needed to process their redemptions.
Scott C. Weatherholt, Executive Vice President, General Counsel and Chief Compliance Officer at Weatherford, signed the report on behalf of the registrant. The filing was made pursuant to Section 13 or 15(d) of the Securities Exchange Act of 1934, with the date of the earliest event reported as October 20, 2026.
The redemption of these high-coupon notes reflects a capital management decision by Weatherford to reduce its interest expense. By paying off the debt early at par, the company eliminates the obligation to pay the 8.625% annual interest rate on this specific tranche. The use of cash on hand indicates that Weatherford is utilizing its existing liquidity to streamline its balance sheet.
