The company, which operates GunBroker.com, has repurchased approximately $8.4 million of its common stock under the program since its launch in January 2026. As of September 30, 2026, this leaves approximately $6.6 million available under the new authorization. The increase represents a $20 million addition to the prior limit, with the $35 million total encompassing all repurchases made to date.

Steve Urvan, chairman, president, and chief executive officer of Outdoor Holding Company, stated that the board's decision reflects confidence in the durability of GunBroker's cash generation. Urvan said the company believes its shares represent an attractive use of capital at current prices. He noted that the company has been a consistent buyer of its stock since the program began and that its balance sheet strength allows it to return capital to shareholders from free cash flow while maintaining the ability to invest in the platform and pursue strategic opportunities.

Repurchases under the program may be conducted through various methods, including open market purchases and privately negotiated transactions, in accordance with federal securities laws. Management will determine the timing, volume, and value of any repurchases based on market conditions, liquidity, and capital needs. The company will fund these repurchases from existing cash balances, future operating cash flows, or other legally available funds.

The board's authorization does not amend any existing Rule 10b5-1 trading plans. The program does not obligate Outdoor Holding Company to repurchase a specific number of shares and may be modified, suspended, or terminated at any time at the discretion of the board or management. Repurchases remain subject to applicable laws, the company's insider trading policy, trading-window restrictions, and debt covenants.

Outdoor Holding Company is the publicly traded parent of GunBroker.com, which it describes as the largest online marketplace dedicated to firearms, hunting, shooting, and related products. The website was launched in 1999. Third-party sellers list items on the platform. Transactions involving restricted items are regulated by federal and state statutes. All firearm sales are completed via federally licensed dealers to ensure compliance with legal requirements.

The company included a cautionary statement regarding forward-looking statements in its press release. These statements are subject to risks and uncertainties that could cause actual results to differ materially from those described. Factors include the company's ability to maintain its e-commerce business, retain customers, and manage the impact of lawsuits and adverse economic conditions. Investors are advised to review the risk factors in the company's Annual Report on Form 10-K for the year ended March 31, 2026.
