Atmos Energy Corporation has entered into an underwriting agreement to sell $700 million in aggregate principal amount of 6.000% Senior Notes due 2036. The company signed the agreement on October 6, 2026, with BNP Paribas Securities Corp., Credit Agricole Securities (USA) Inc. and U.S. Bancorp Investments, Inc. acting as representatives of the underwriters.
The offering is registered under the Securities Act of 1934 pursuant to a registration statement on Form S-3. Atmos Energy filed a prospectus supplement dated October 6, 2026 with the U.S. Securities and Exchange Commission on October 8, 2026. The company expects to receive net proceeds of approximately $691.4 million after deducting the underwriting discount and estimated offering expenses. The transaction is expected to close on or about October 9, 2026, subject to customary closing conditions.
The notes will be issued under an indenture dated March 26, 2009, between Atmos Energy and U.S. Bank Trust Company, National Association, as trustee. The indenture will be modified by an Officers' Certificate dated October 9, 2026, which sets forth the terms of the notes. The securities will be represented by two global securities. Legal opinions from Gibson, Dunn & Crutcher LLP and Hunton Andrews Kurth LLP were filed as exhibits to the report.
