Digital Asset Acquisition Corp. (Nasdaq: DAAQ) has entered into a merger agreement with Titan Strategics Holdings Ltd, creating a combined entity expected to be named Renaissance Nuclear, Inc. The transaction implies a pro-forma enterprise value of $318 million.
Titan holds exploration licenses for the Billingen uranium district in Sweden, which includes the former Ranstad mine. Titan Strategics AS, a subsidiary of the Cayman Islands-based Titan, holds two exploration permits covering approximately 207 square kilometers of land in south-central Sweden. These licenses, granted by the Swedish Mining Inspectorate in January 2025, run through January 2028 and encompass the Ranstad mine site. Ranstad produced uranium from 1965 to 1969 before closing due to low prices. The site is located approximately 5 kilometers from Skovde and 150 kilometers from Gothenburg, with existing highway, rail, and grid power infrastructure.
According to historical records compiled by Titan, the Swedish state drilled 242 holes across the Billingen area between 1957 and 1975. More than 200 of these holes were drilled within Titan's current license area. Assay records from 11 holes drilled in 1974 and 1975 averaged approximately 350 ppm U3O8 over about 7 meters, with one hole grading 564 ppm U3O8. On the eastern flank of the district, drilling encountered the uranium layer at a depth of approximately 9 meters. Titan noted that these historical results have not yet been verified by a Qualified Person under SEC Regulation S-K 1300.
The deal is part of a broader shift in European energy policy. Sweden lifted its uranium ban on January 1, 2026, reopening access to alum shales that host an estimated one million tonnes of uranium. The EU imports virtually all of its uranium needs, with around 16% of the roughly 14,700 tonnes of natural uranium received by EU utilities in 2025 coming from Russia. Brussels' REPowerEU roadmap aims to phase out remaining Russian energy imports. In Sweden, nuclear power currently supplies about 30% of electricity, and the government plans for up to ten new large reactors by 2045.
Leadership for the combined company includes Adam Clode as Executive Chairman. Clode has over 25 years of mining experience, including roles at Newmont Mining Corporation, Equinox Minerals, and African Minerals. DAAQ Co-Chairmen Pete Ort and Jeff Tuder bring over 30 years of experience in special purpose acquisition companies. Their most recent SPAC, Real Asset Acquisition Corp., closed a combination with IQM Quantum Computers Oyj in July 2026.
The transaction includes a signed commitment of $15 million in common equity from an accredited investor via a Private Investment in Public Equity (PIPE). The business combination remains subject to shareholder and regulatory approvals and other customary closing conditions. An independent Qualified Person is preparing an SK-1300 Technical Report Summary for the project.
